These Terms of Service ("Terms") govern your access to and use of the Quattro platform operated by Go Quattro Inc. ("Quattro", "we", "us", or "our"). By creating an account or using the service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Quattro at goquattro.app or app.goquattro.app, you agree to these Terms and our Privacy Policy. If you are using Quattro on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the service.

2. Description of Service

Quattro is a cloud-based mortgage workflow platform that provides mortgage brokers and brokerages with tools for pipeline management, document storage and organization, AI-powered document classification (Quattro Intelligence), team collaboration, activity tracking, and related features.

We offer the service on a subscription basis with multiple plan tiers, including a free tier with limited functionality. Plan features and pricing are described on our website and may be updated from time to time with reasonable notice.

3. Account Registration

To use Quattro, you must create an account and provide accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately at hello@quattro.ca if you suspect unauthorized access to your account
  • Ensuring that all users you invite to your organization comply with these Terms

You must be at least 18 years of age to use Quattro and must be a licensed mortgage professional or authorized representative of a brokerage to use the platform in a professional capacity. We reserve the right to refuse registration at our sole discretion.

4. User Responsibilities

You agree that you will not:

  • Upload false, fraudulent, or fabricated mortgage documents or client information
  • Use Quattro to store or process documents without having obtained all legally required consents from the individuals whose information is contained in those documents
  • Violate any applicable mortgage lending, brokerage licensing, anti-money-laundering, privacy, or data protection laws in connection with your use of the platform
  • Attempt to gain unauthorized access to any part of the platform or other users' data
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform
  • Use automated scripts, bots, or other means to scrape or extract data from the platform
  • Transmit any malicious code, viruses, or other harmful materials through the platform
  • Use the platform for any purpose that violates applicable law or these Terms

You are solely responsible for the accuracy, completeness, and legality of all mortgage documents, deal information, and client data you enter into or upload to Quattro. Quattro is a workflow tool and does not verify or validate the accuracy of documents or mortgage applications. Professional judgment and legal compliance remain your responsibility.

5. Intellectual Property

The Quattro platform, including its design, software, features, AI models, trademarks, and all related intellectual property, is owned by Go Quattro Inc. and is protected by Canadian and international intellectual property laws. Nothing in these Terms grants you any ownership rights in the platform.

You retain full ownership of all data, documents, and content you upload to Quattro. By uploading content, you grant Go Quattro Inc. a limited, non-exclusive licence to store, process, and display your content solely as necessary to provide the service to you.

We will not use your data or your clients' data for any purpose beyond operating the service, as described in our Privacy Policy.

6. Data and Privacy

Your use of Quattro is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Given the sensitive nature of mortgage documents and the personal and financial information they contain, you acknowledge that you are acting as a data controller (or equivalent role under applicable privacy legislation) with respect to your clients' personal information. Quattro acts as a data processor on your behalf. You are responsible for ensuring you have a lawful basis to store and process your clients' information using a third-party cloud platform.

We implement reasonable security measures as described in our Privacy Policy. However, you are also responsible for your own security practices, including controlling who in your organization has access to which deals and documents.

7. Service Availability and Uptime

We strive to provide a reliable, high-availability service, but we do not guarantee uninterrupted or error-free access. The platform may be temporarily unavailable due to scheduled maintenance, upgrades, or events outside our control.

We will use commercially reasonable efforts to provide advance notice of planned maintenance that may cause significant downtime. We are not liable for any losses or damages arising from service interruptions, provided we have taken reasonable steps to minimize disruption.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the service at any time, with reasonable notice where possible. In the event of a significant discontinuation of the service, we will provide you with the ability to export your data.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Go Quattro Inc. and its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill, arising out of or in connection with your use of the service.

Our total aggregate liability to you for any claims arising from or related to these Terms or the service shall not exceed the greater of: (a) the amounts you paid to us in the twelve months preceding the event giving rise to liability, or (b) one hundred Canadian dollars (CAD $100).

These limitations apply regardless of the theory of liability (contract, tort, negligence, statute, or otherwise) and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain liability limitations, so some of the above may not apply to you.

Quattro is a workflow management tool. We make no representations about the fitness of the platform for any regulatory, compliance, or professional licensing requirement. You are responsible for ensuring your use of the platform complies with all professional obligations applicable to your brokerage.

9. Termination

You may cancel your account at any time from within the platform settings or by contacting us at hello@quattro.ca. Cancellation takes effect at the end of your current billing period for paid plans. The Free plan can be closed immediately.

We may suspend or terminate your account immediately and without notice if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or if required to do so by law. We will provide notice where reasonably practicable.

Upon termination, your access to the platform will cease and your data will be retained for 30 days, after which it will be deleted. You should export any data you need before closing your account. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will survive.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or your use of Quattro shall be resolved in the courts of the Province of Ontario, and you irrevocably consent to the exclusive jurisdiction of those courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

11. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by displaying a prominent notice in the application at least 14 days before the changes take effect. The "Last updated" date at the top of this page reflects the most recent revision.

Your continued use of Quattro after updated Terms take effect constitutes your acceptance of those changes. If you do not agree to revised Terms, you must stop using the service and contact us to close your account.
